CINETOOLS
END USER LICENSE AGREEMENT
Cinetools | SFXtools | Soundlayers | Instant Cues | Leitmotif
Version 2.0 | Revised 3 October 2026
This End User License Agreement (the “Agreement”) governs your use of sound libraries and other audio content supplied under the Cinetools, SFXtools, Soundlayers, Instant Cues and Leitmotif brands (the “Covered Brands”). It is an agreement between Cinetools Software Audio And Game Development Ltd Co., Türkiye (“Cinetools”, “we”, “us” or “our”), and the individual or legal entity acquiring the license (“you” or the “Licensee”).
The Sounds are licensed, not sold. This Agreement permits their use in commercial and non-commercial productions while protecting them against redistribution as reusable audio assets.
By accepting this Agreement at checkout, or downloading or using a Product after being given an opportunity to review these terms, you agree to be bound by it. If you act for a legal entity, you must have authority to bind that entity. If you do not agree, do not download or use the Product and contact the seller regarding any cancellation rights available to you.
1 Definitions and scope
“Product” means a sound library, sample pack, music cue collection or other audio product released under a Covered Brand lawfully obtained from Cinetools or an authorized distributor and supplied under this Agreement, including a free product expressly offered under these terms.
“Sounds” means the audio content included in a Product, including sound effects, recordings, samples, loops, musical phrases, cues, complete music tracks, stems and production elements. Restrictions concerning the Sounds also apply to copies, extracts and versions you edit, process, layer, resample or otherwise modify, to the extent they contain or reproduce the Sounds.
“Production” means a creative work in which Sounds are incorporated as part of the work, such as a film, trailer, television programme, advertisement, musical composition or recording, podcast, game, application, live performance or installation. A Product or collection of reusable audio assets does not become a Production merely by being renamed, processed or packaged with other material.
“Licensed User” means the one individual authorized to access and use the Sounds under a standard single-user license, or each individual covered by an expressly agreed multi-user license.
This Agreement governs perpetual Product licenses. A subscription, enterprise arrangement or product supplied under separate license terms is governed by those terms. A specific written agreement with Cinetools prevails over this Agreement to the extent of a conflict. Distributor checkout and refund terms may govern the sale, but do not expand this license unless Cinetools has authorized them to do so.
2 License grant
Subject to lawful acquisition, payment of the applicable license fee and compliance with this Agreement, Cinetools grants you a worldwide, non-exclusive license to use the Sounds in an unlimited number of Productions for the full duration of the applicable copyright and related rights, unless terminated under Section 12.
You may copy, edit, synchronize, reproduce and incorporate the Sounds into Productions, and reproduce, distribute, sell, license, broadcast, stream, publicly perform, exhibit and otherwise make those Productions available in any media or format. You may authorize clients, publishers, distributors, broadcasters and platforms to do the same, subject to the restrictions in this Agreement.
No further fee or royalty is payable to Cinetools for permitted use of the Sounds, regardless of a Production’s budget, audience, revenue, number of copies or distribution territory. Attribution to Cinetools or the relevant Covered Brand is appreciated but not required.
This license covers only the rights Cinetools grants in the Sounds. It does not clear music, images, trademarks, performances or other material you obtain separately, or exempt a Production from otherwise applicable legal requirements.
3 Permitted uses
Permitted Productions include:
- Films, television programmes, documentaries, animation and other audiovisual works.
- Trailers, teasers, advertisements, promotional clips and social media content, including promotional material for a Production in which the Sounds have already been used.
- Video games, mobile applications, interactive experiences, virtual and augmented reality, and in-application or in-game user interfaces.
- Music recordings, albums, soundtracks, commissioned compositions, and production or library music meeting Section 6.
- Podcasts, radio programmes, audio dramas, audiobooks and other audio productions.
- Live performances, theatre, exhibitions and location-based audiovisual or interactive installations.
You may change the Sounds as needed for a permitted Production, including trimming, pitch shifting, time stretching, equalization, dynamics processing, layering and other sound design. You may also use a Sound without modifying it.
You may load Sounds into your own sampler, virtual instrument, editing software or playback system to create or present a permitted Production. This permission does not allow distribution of that sampler content, instrument, preset bank or sound collection to other users.
4 Individual sounds within a Production
A Sound may be used individually within a Production, including when synchronized with visual content or triggered by an event in a game or application. It does not have to be layered with another sound, accompanied by music or dialogue, or altered to become unrecognizable. This permission is subject to the specific requirements for production music stems in Section 6.
For example, an isolated impact in a trailer, a single door sound in a film, an ambience beneath a scene, or a button sound in a game is permitted. A Sound does not become a prohibited standalone audio asset merely because it can be heard clearly or on its own at a particular moment.
The distinction is between using a Sound as part of a Production and supplying the Sound for independent listening, extraction or reuse as an audio asset. You must not sell, license, share or otherwise make Sounds available as standalone audio assets except for the limited project delivery expressly permitted in Section 5.
Attaching a static image, simple visualizer, token narration or similar nominal material does not permit publication of a Sound or collection of Sounds whose principal purpose is to supply or reproduce the Sounds themselves. For example, a substantially unchanged library ambience looped as a listening track or video, or an effects compilation offered as a sound collection, requires separate written permission. This does not prohibit genuine music compositions or narrative, audiovisual or interactive Productions merely because a Sound is prominent or audible for an extended period. No fixed percentage of original material or duration limit applies to an otherwise permitted Production. The layering requirements in Section 6 apply specifically to stems supplied through music licensing catalogs.
A supplied music track or cue may be synchronized with a permitted film, trailer, advertisement, game or other Production without adding new music or changing its composition. The restrictions in Section 6 concern offering that material through another music licensing catalog; they do not require you to recompose a supplied cue for permitted synchronization.
5 Client work and project delivery
You may use the Sounds in commissioned work and deliver completed Productions to clients. Clients and their distribution partners do not need a separate Product license merely to release, distribute, exhibit, broadcast or otherwise exploit those Productions as permitted by this Agreement.
You may deliver project files, production stems, mixes and individual audio files containing Sounds to a client or production collaborator only to the extent reasonably necessary to finish, mix, localize, implement, maintain or archive the specific Production, including its versions and related promotional materials. Such delivery may include isolated Sounds where technically necessary, for example for game implementation or post-production interchange.
This limited permission requires you to:
- Include only the Sounds reasonably required for that Production, rather than a Product or general-purpose sound collection.
- Inform recipients in writing that the Sounds are licensed material and may be used only for the specified Production and its permitted versions and promotional materials.
- Prohibit recipients from extracting Sounds for unrelated projects, adding them to a reusable library, or distributing them except as allowed for that Production.
- Use reasonable safeguards for transfer and storage, and require recipients to restrict access to people who need it for the permitted project work.
Recipients do not need a separate license solely for these limited project tasks. Anyone who needs to browse the original Product, select additional Sounds, or reuse the delivered Sounds in another Production must hold an appropriate license. This exception does not permit license sharing or access to your general sound library.
You remain responsible for your own compliance and for providing these restrictions to recipients. You must not knowingly authorize or facilitate their misuse. Delivery of a Production does not transfer your underlying Product license.
6 Production music and stems
You may use Sounds in original music intended for release through production music libraries, stock music services, publishers or other music licensing platforms. You and those services may license the resulting compositions and recordings for synchronization and other permitted uses.
The music must include your own creative musical contribution beyond merely repackaging, renaming, looping, sequencing or processing supplied Sounds as reusable production elements. An unchanged or minimally adapted supplied cue must not be registered, submitted or marketed as your own original library music track.
Alternative mixes, edits and stems of a qualifying music Production may be supplied for use with that composition, subject to the following requirements. A “stem” is a separate audio mix of one or more components of a Production, such as percussion, instruments or sound effects.
When you supply a stem containing Sounds through a production music library, stock music service, publisher or other music licensing catalog, each Sound must be mixed within that delivered stem with additional audio from sources other than the Products. Such additional audio may include your own recordings, synthesized sounds, musical performances or other material you are entitled to use for this purpose. The additional elements may be tonal or non-tonal, including percussion or sound design.
The combination must be audible in the delivered stem itself, so that no Sound is supplied there on its own or as an isolated element. Music or other audio present only in the full mix or a different stem does not satisfy this requirement. Merely editing or processing a Sound, or combining only Sounds from the Covered Brands, does not satisfy it either.
Stems must remain components of the qualifying composition and be supplied only for use with that composition. You must not offer the Sounds, whether isolated, processed or layered, as separately reusable effects, loops, construction kits, work parts or other audio assets. Compliance with the stem mixing requirements does not authorize creation or distribution of a sample pack, sound effects library or other product prohibited by Section 7.
The limited project delivery in Section 5 remains available for technical work on a specific commissioned Production, including film post-production and game implementation. It does not authorize supplying isolated Sounds to a music licensing catalog or its customers, even if the music was commissioned by that catalog.
7 Prohibited redistribution and competing products
Except as expressly permitted by this Agreement or separately authorized by Cinetools in writing, you must not:
- Sell, sublicense, give away, share, rent, lend, exchange or otherwise distribute a Product or any Sounds as reusable audio assets, whether for payment or free of charge.
- Use the Sounds to create or supply sound effects libraries, sample packs, loop packs, construction kits, stock audio collections, preset banks containing the Sounds, or other products that provide Sounds or derivatives for reuse by others.
- Include the Sounds in distributed virtual instruments, samplers, synthesizers, musical instruments, soundboards or other software or hardware whose function is to supply the Sounds for independent playback, performance, selection or reuse. Separate written permission is required for such uses.
- Make the Sounds available through an asset marketplace, public repository, shared download folder, peer-to-peer service, library access service or other system that grants unlicensed access.
- Distribute templates, project files, middleware projects or source packages that make the Sounds available for general reuse, outside the limited delivery permitted in Section 5.
- Extract Sounds from our previews or promotional demonstrations for use in a Production unless those Sounds have separately been supplied to you under a valid license.
Processing, resampling, combining or changing the format of a Sound does not remove these restrictions. A derivative sound library or sample-based product requires written permission even if its Sounds have been substantially modified.
Embedding Sounds in an otherwise permitted game or application is allowed. You must use reasonable, commercially appropriate measures to discourage extraction and reuse, such as packaged asset files or restricted access where practicable. You are not required to make extraction technically impossible. You must not provide an export function or distribute source assets that intentionally enable users to obtain the Sounds for unrelated use.
8 Users and storage
A standard license covers one Licensed User. If a company acquires the license, it must designate one individual as the Licensed User. A company purchase does not automatically cover all employees, contractors, departments or offices.
The Licensed User may store and use the Sounds on multiple computers and storage devices under their control, and may make reasonable backup copies. Private cloud storage, remote workstations and internal network storage are permitted if access to the Sounds is restricted to the properly Licensed User, apart from the specific project delivery allowed in Section 5.
Additional people who access or use the Product require separate licenses or an agreed multi-user license. A single-user license may not be rotated among people as a shared or concurrent-use seat. Permanent reassignment of a company’s designated user requires Cinetools’ written consent unless a separate agreement expressly permits it.
You must take reasonable care to prevent unauthorized access. A hosting or storage provider may hold copies solely to provide storage or processing services on your behalf and must not receive rights to exploit, redistribute or train models on the Sounds.
9 Artificial intelligence and machine learning
Without Cinetools’ prior written permission, you must not use the Sounds, or permit them to be used, to train, fine-tune or improve an artificial intelligence or machine learning model, or include them in a dataset supplied for model training, testing or benchmarking. This restriction applies to commercial and non-commercial uses and to modified or extracted versions of the Sounds.
You must not upload or contribute the Sounds to a service whose applicable terms authorize those uses or grant rights in the Sounds beyond the limited technical processing needed for your permitted work.
Ordinary production tools remain permitted, including tools using machine learning for denoising, restoration, separation, editing, analysis, transcription, metadata or private library search, provided that the Sounds are not used to train or improve a model, are not made available to other users, and the resulting use complies with this Agreement. Private indexing solely to locate your licensed Sounds is permitted on the same conditions.
This Section does not prohibit distribution of a permitted Production through a platform merely because the platform uses automated technical systems. It does not grant you or the platform any right to use the underlying Sounds for model training or dataset licensing.
10 Ownership and rights management
Cinetools and its licensors retain all rights in the Products, Sounds and accompanying material. You acquire only the permissions expressly granted by this Agreement. Your own original contributions to a Production remain yours, subject to the underlying rights in the Sounds.
The Sounds are licensed non-exclusively and may also appear in other users’ Productions. You must not claim exclusive ownership of a Sound or register a Sound by itself with Content ID, an audio fingerprinting service or a similar automated rights management system.
You may register your original composition or completed Production where the service’s rules permit content containing non-exclusive licensed material. Any claim must relate to your own protectable contribution and must not prevent Cinetools or another lawful licensee from using the same Sounds. You must promptly release any claim you control that is based solely on shared Sounds, and instruct your distributor or rights management provider to do the same. If a service cannot avoid such claims, you must exclude the affected material from that service.
You may grant exclusivity in your own original work, but may not promise exclusivity in the underlying Sounds. No right to use the trademarks of Cinetools or any Covered Brand, or imply endorsement, is granted except to identify the source of the Sounds truthfully.
11 Digital delivery and refunds
Products are supplied as digital content. Except where applicable law or an express seller policy provides otherwise, downloaded Products are not eligible for a change-of-mind refund or exchange.
Any loss of a statutory withdrawal right is subject to the conditions imposed by applicable law, including any required advance information, express consent to immediate supply, acknowledgment of the loss of that right and contract confirmation. This Agreement alone does not replace those requirements.
If a Product is incomplete, corrupted or materially differs from its description, contact the seller or Cinetools with your order details and a description of the issue. For faults reported within 30 days of purchase, Cinetools offers assistance and, where appropriate, a corrected download or replacement of the same Product at no additional charge. If the problem cannot reasonably be resolved, the applicable refund, price reduction or other remedy will be provided where required by law or the seller’s policy.
The 30-day support commitment does not limit statutory rights, warranty periods or remedies. No term excludes rights relating to defective or non-conforming digital content that cannot lawfully be excluded.
Requesting support, reporting a fault or asking for a refund does not itself terminate your license. A completed full refund or effective cancellation ends the license for the affected Product, subject to Section 12 and any mandatory legal rights. A partial price reduction does not end the license unless expressly agreed.
12 Duration and termination
This Agreement takes effect when you validly accept it and acquire the relevant license. Cinetools may terminate an affected Product license for a material breach by written notice identifying the breach. Where the breach can be remedied, you will have 30 days after receipt of the notice to remedy it before termination takes effect.
For an irremediable material breach, or deliberate unauthorized distribution of Sounds or unauthorized model training, Cinetools may terminate by written notice with immediate effect, to the extent permitted by law. You must stop any prohibited activity immediately upon notice, even where a cure period applies to other aspects of the breach.
When a license ends, you must stop using the affected Sounds to create new work and delete the Product and standalone copies under your control. You may retain copies required by law or contained in inaccessible routine backups until their normal deletion, provided they are not restored for use. You must remove the affected Sounds from unfinished projects unless Cinetools agrees otherwise in writing or applicable law provides otherwise.
Productions lawfully completed while the license was valid may continue to be distributed and exploited, including by clients and distribution partners, provided they were not themselves involved in the breach. Existing project copies may be retained and used only as necessary to distribute, archive or technically maintain those Productions, including format conversion and localization, without extracting Sounds for new Productions. New creative versions and new promotional works using the Sounds require a valid license.
The continued-use permission in the preceding paragraph does not apply where the affected Product license has ended through a full refund or cancellation, unless agreed in writing or required by law. Any rights that third parties retain under mandatory law remain unaffected.
Termination does not remove accrued rights or liabilities. Provisions concerning ownership, redistribution, model training, rights management, liability and dispute resolution continue to apply as necessary to give them effect.
13 Product assurance and liability
Cinetools warrants that it has the rights necessary to grant the permissions in this Agreement. You are responsible for ensuring that your own additions and the overall use of a Production comply with applicable law and any rights not granted here.
Except for express commitments in this Agreement and rights that cannot lawfully be excluded, Products are supplied as available and without additional warranties. Cinetools does not promise suitability for every creative purpose, compatibility with every system, uninterrupted download access or indefinite availability of replacement downloads. These limitations do not excuse failure to supply the Product as described or meet mandatory obligations concerning digital content.
For business Licensees, and only to the extent permitted by law, Cinetools is not liable for indirect or consequential loss, loss of profits, or loss of business opportunity arising from this Agreement. Its aggregate liability arising from an affected Product is limited to the license fee paid for that Product. These business limitations do not apply to consumer Licensees.
Nothing excludes or limits liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing restricts a mandatory consumer remedy.
14 Transfers and special permissions
You may not sell, assign or otherwise transfer a Product license to another person or entity without Cinetools’ prior written consent, except where applicable law gives you a right that cannot be restricted. This does not prevent permitted delivery and exploitation of Productions under Sections 2 and 5.
For multi-user access, sound product development, model training or another use outside this Agreement, contact Cinetools before that use begins. Any extension must be expressly agreed in writing by Cinetools and applies only within its stated scope. Silence does not constitute permission.
15 Governing law and general terms
This Agreement is governed by the laws of the Republic of Türkiye. If you are a consumer, this choice does not deprive you of mandatory protections under the law that would otherwise apply, including applicable protections in your country of habitual residence. Disputes are subject to the courts and, where applicable, consumer dispute bodies having jurisdiction under applicable law. No exclusive foreign forum is imposed on a consumer by this Agreement.
This Agreement and any expressly agreed license extension constitute the agreement concerning your use of the relevant Product. They do not exclude binding pre-contract information, seller obligations or other terms that applicable law makes part of the contract.
If a provision is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
The version accepted when a Product license is acquired governs that license. Publishing a revised EULA does not, by itself, replace the terms of an existing license or retroactively restrict permissions already granted. Changes to an existing license require a valid agreement or another lawful basis. Keep a copy of the applicable terms and your proof of acquisition.
Notices and permissions under this Agreement may be given by email or another durable written medium. Cinetools may send notices to the contact address associated with your license or order. You should keep those details current.
